Terms of service
Version 1 · In effect from [pending: the date these terms take effect]
Who we are
These terms are an agreement between you and [pending: the legal business name] ("we", "us"), of [pending: the business address]. We make Miriarch: the desktop app, the websites miriarch.com and account.miriarch.com, and Miriarch's cloud, which runs cloud workspaces and keeps your account. By signing in to Miriarch you agree to these terms and to our privacy policy.
What Miriarch is
Miriarch is a workspace where people and AI agents build, ship and run software together. The desktop app runs your workspaces on your computer. A cloud workspace runs in our cloud instead, so it's always on and the same on every computer you sign in on.
Your account
You sign in with your GitHub account. You need to be old enough to agree to these terms where you live. You're responsible for what happens under your account and on the computers you sign in on: sign a computer out from Miriarch if you lose it. Tell us at [pending: the contact email] if you think someone else is using your account.
Free and paid
Miriarch is free on your computer. A Sync credit gives you one cloud workspace. Each credit is a monthly subscription, sold through Paddle (Paddle.com Market Limited), our reseller and merchant of record: Paddle takes the payment, charges the tax and sends the invoices, and Paddle's buyer terms apply to the purchase as well as these terms.
- The price is shown on miriarch.com/pricing and in Miriarch before you pay. Tax is added where it applies.
- Adding a credit charges the rest of the current period at once. Lowering credits takes effect at once, and the unused part of the period is credited on your next bill.
- You can cancel any time in Manage billing, on your account page at account.miriarch.com. Your credits stay until the end of the period you paid for, and the subscription doesn't renew.
- Refunds follow our refund policy.
If we change a price, we tell you in Miriarch before it applies to you, and you can cancel before it does.
Your work
What you put in your workspaces is yours. For a cloud workspace you let us store it, back it up and run it, only so that Miriarch can work for you. A workspace on your computer stays there: we don't receive its content.
Models, coding agents and connected apps
Miriarch talks to model providers with your own keys, runs coding agents on their own subscriptions, and reaches apps you connect with the access you give it. Those providers' own terms apply to that use, and they bill you for it, not us. Miriarch asks before it does something risky, but you decide what it and your agents may do, and you're responsible for reviewing what they produce before you rely on it.
Acceptable use
Don't use Miriarch to break the law or anyone's rights; to send spam, malware or attacks; to get into systems or data you aren't allowed to; to get around Miriarch's limits or someone else's security; or to resell access to Miriarch's cloud. Don't put a load on our service that keeps others from using it.
When credits end
A cloud workspace without a credit (cancelled, lowered, or its payment failed for good) turns read-only: you can still open it and move it home to your computer from Miriarch at any time. We keep a read-only cloud workspace for 90 days after we've told you in Miriarch that it has no credit, and may delete it after that. Move it home first to keep your work. When you move a cloud workspace home or retire it, we delete its cloud copy within 30 days.
Ending
You can stop using Miriarch at any time and ask us to delete your account (see the privacy policy). We may suspend or end your access if you break these terms, telling you why where we can, and giving you a chance to take your work home unless the law or someone's safety doesn't allow it.
Availability
We work to keep Miriarch running and your cloud workspaces backed up, but Miriarch is provided as it is, without a promise that it will always be available or free of errors. We may change or stop parts of it; when that takes something away you pay for, we tell you first in Miriarch.
Liability
As far as the law allows, we aren't liable for indirect or consequential losses, or for lost profits, data or business, and our total liability to you is limited to what you paid us in the twelve months before the claim. Nothing in these terms limits liability that the law doesn't let us limit, or rights you have as a consumer.
Changes to these terms
When we change these terms we publish the new version here with its date, and tell you in Miriarch before it takes effect. If you keep using Miriarch after that, the new terms apply; if you don't agree, you can stop and cancel. We don't send these notices by email.
Law
These terms are governed by the law of [pending: the jurisdiction]. If you're a consumer, you also keep the protections of the law where you live.
